1. Definitions
In these Terms, the following capitalised terms have the meaning set out below:
- Agreement: collectively, these Terms, the Privacy Policy, the Cookie Policy, the Community Guidelines, the Anti-discrimination Policy, the Review Policy and the Service Agreement concluded per Session.
- Help Seeker: a consumer who engages a Helper through the Platform for a Session.
- Helper: any natural or legal person, whether private (C2C) or professional (B2C), who offers help services via the Platform. You are the Helper.
- P2B Regulation: Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services.
- Parties: VDGT Consultancy BV and the Helper.
- Platform: the HelpingHands mobile application and supporting infrastructure, operated by VDGT Consultancy BV.
- Platform Commission: the portion of each Transaction that VDGT Consultancy BV withholds for use of the Platform.
- Rating: the rating (score and optional comment) a Help Seeker assigns to the Helper after a Session.
- Service Agreement: the contract that comes into effect for each accepted Session between the Helper and the Help Seeker, with VDGT Consultancy BV acting as technical intermediary.
- Session: a video call booked via the Platform between a Helper and a Help Seeker, for a pre-selected duration of 10, 20 or 30 minutes.
- Stripe Connect: the payout and onboarding system operated by Stripe through which Helpers verify their identity and receive payouts.
- Transaction: the payment by a Help Seeker via Stripe for a Session, including Platform Commission and helper payout.
2. Who are we and what is HelpingHands?
VDGT Consultancy BV, CBE 1004820426, operates the app HelpingHands. The Platform is offered to helpers resident or established in the European Economic Area (EEA: the 27 EU member states plus Iceland, Liechtenstein and Norway). These Terms govern the relationship between VDGT Consultancy BV and every helper on the platform, regardless of account type. These Terms together with the Privacy Policy, the Cookie Policy, the Community Guidelines, the Anti-discrimination Policy, the Review Policy and the Service Agreement concluded per Session form one whole (the "Agreement"). A breach of any part thereof constitutes a breach of these Terms.
3. Account types
At registration you choose an account type that is visible to help seekers on your profile:
3.1 Individual (personal account — C2C)
- Earnings from sessions are treated as miscellaneous income and are taxable at 33% (+ municipal surcharges) in Belgium. Consult a tax advisor for your personal situation;
- VAT exemption applies as long as you do not exceed the statutory threshold;
- The Consumer Rights Directive does not apply to your relationship with help seekers, but you remain fully bound by these Terms;
- Recommended: personal liability insurance (BA privéleven / family liability) that may cover damages arising from your help activities.
⚠ Tax classification of your earnings is your own responsibility. VDGT Consultancy BV cannot provide tax advice.
3.2 Business / self-employed (professional account — B2C)
- Valid company registration number (CBE or equivalent) required;
- Compliance with VAT obligations in your country of establishment;
- Mandatory consumer protection applies in full to your relationship with help seekers;
- Pre-contractual information obligation towards consumers (Art. VI.45 CDE);
- Mandatory professional liability insurance (BA Beroep / professional indemnity) covering all services delivered via the platform; proof to be provided upon request.
4. Registration
4.1 Common requirements
- At least 18 years old;
- Valid identity verified through Stripe Connect onboarding;
- Accurate profile content — no misleading qualifications.
4.2 Additional for business helpers
- Company number, VAT number (if applicable), company name and address.
5. Independent status and profile content
5.1 Autonomy and non-exclusivity
Every Helper acts fully independently of VDGT Consultancy BV. No employment, agency or hierarchical relationship exists between VDGT Consultancy BV and the Helper. The Helper determines their own working methods, hours and location, and is free to offer similar services via other channels or platforms. Every Helper bears their own fiscal, social and legal obligations.
5.2 Licence on profile content
By placing profile content (profile photo, bio, catchphrase, category descriptions, examples) on the Platform, you grant VDGT Consultancy BV a non-exclusive, worldwide, royalty-free right to host, display, reproduce, adapt for technical or presentation formats, and use such content in communications and marketing material of the Platform. This licence lasts for as long as the content remains on the Platform and ends on its removal, except for reasonable use in historical communications or already-distributed marketing material.
6. Obligations
- Join the session within 1 minute of payment confirmation;
- Perform in accordance with the profile description and category;
- Respectful, honest communication;
- Proactive disclosure if the question exceeds your own knowledge;
- No advice in legally regulated professions without the required qualifications;
- No direct payments outside the platform for sessions booked via HelpingHands;
- Confidentiality about session content.
7. Commission and payout
7.1 Platform commission
VDGT Consultancy BV deducts a commission from each completed session. The rate is visible in the helper dashboard and may be adjusted with 30 days' prior notice.
7.2 Stripe Connect
Payouts are made via Stripe Connect. Identity verification and IBAN management are handled by Stripe.
7.3 Tax responsibility
Every helper is solely responsible for their tax declaration in accordance with the laws of their country of residence.
8. Suspension and termination
8.1 Individual helpers
VDGT Consultancy BV may suspend or terminate the account of an individual helper without prior notice for serious breaches, fraudulent behaviour, payment fraud or a sustained pattern of low ratings or quality complaints, assessed after internal review.
8.2 Business helpers (P2B Regulation)
For business helpers, EU Regulation (EU) 2019/1150 (P2B) applies. VDGT Consultancy BV will observe a notice period of at least 30 days with written reasons upon termination. The notice period does not apply in cases of:
- Serious breaches of legal obligations;
- Fraudulent behaviour or identity misuse;
- Serious danger to the safety of users.

8.3 By the helper
You may close your helper account at any time via the in-app settings or by email to support@helping-hands.world. Closure does not release you from obligations in respect of sessions already booked, in progress or due for payout at the time of closure. Confidentiality obligations regarding session content survive termination.
9. Liability and indemnification
The helper is fully liable for the content of their advice, for their compliance with these Terms and for their conduct on the platform. The helper shall indemnify VDGT Consultancy BV against any and all third-party claims — including claims by help seekers and other platform users — arising from their acts or omissions. This indemnification covers all reasonable costs, including attorneys' fees, court costs, settlement amounts and commercial damages incurred by VDGT Consultancy BV as a result.
10. Platform availability and non-guarantee of demand
10.1 Availability
We endeavour to keep the Platform available 24/7 but provide it on a best-efforts basis. We may temporarily suspend access for maintenance, updates or security reasons, preferably with advance notice. We are not liable for unavailability, interruptions, bugs, data loss or corruption, except in cases of intent or gross negligence on our part.
10.2 Non-guarantee of demand
We do not guarantee any minimum volume of help requests, session bookings, earnings or visibility. Help seekers choose helpers freely, and the Platform may adjust its matching, ranking and surfacing logic over time. For business helpers, material changes to the main parameters determining ranking will be communicated in accordance with the P2B Regulation.
11. Governing law and jurisdiction
This Agreement is governed by Belgian law. The competent Belgian courts have jurisdiction. For business helpers, this clause is without prejudice to any mandatory provisions of the P2B Regulation on mediation and jurisdiction.
12. General provisions
12.1 Relationship with help seekers
Every Session is a direct contractual relationship between the helper and the help seeker (the Service Agreement), with VDGT Consultancy BV acting solely as a technical intermediary. The helper and the help seeker act as independent parties; nothing in the Agreement creates an employment, agency, partnership or joint venture relationship between them.
12.2 Assignment
VDGT Consultancy BV may assign or transfer its rights and obligations under the Agreement, in whole or in part, to an affiliate or a successor (including in the context of a merger, reorganisation or sale of assets). You may not assign or transfer your rights or obligations without our prior written consent.
12.3 Severability
If any provision of these Terms is held invalid, void or unenforceable, the remaining provisions remain in full force and effect. The invalid provision shall be replaced by a valid provision that reflects as closely as possible the original intent.
12.4 No waiver
Our failure to enforce any provision of the Agreement on a given occasion does not constitute a waiver of that provision or of our right to enforce it later.
12.5 Entire agreement
The Agreement (as defined in section 2) constitutes the entire agreement between you and us regarding the Platform and supersedes any prior understandings or representations on the same subject matter.
13. Changes and contact
